RENTAL SERVICE AGREEMENT
Please read all sections of this agreement before proceeding to the signature at the bottom.
This Equipment Rental Service Agreement (“Agreement”) is entered into between Worthy Group LLC, DBA High Desert Equipment Rentals (“the Company”) and the undersigned renter (“Client”). By reserving, paying for, signing, accepting delivery of, or taking possession of any equipment, Client agrees to all terms below.
EQUIPMENT CONDITION & ACCEPTANCE:
All equipment is inspected and documented by the Company prior to each rental and is functional at the time of checkout. Upon taking possession, Client acknowledges the equipment is in good working order and accepts it as-is. Client is fully responsible for the equipment during the rental period. No refunds or rental credits will be issued for downtime resulting from misuse, damage, environmental conditions, or causes beyond the Company’s control. Equipment will be inspected by the Company upon return.
CLIENT RESPONSIBILITIES:
The Client agrees to use the equipment only for its intended purpose; follow all operating instructions, warnings, and safety guidelines provided by the Company or the manufacturer; comply with all applicable local, state, and federal laws; ensure only trained, qualified, and legally permitted operators use the equipment; be fully responsible for the actions and conduct of all operators and parties involved; ensure equipment is parked, stored, and secured in a safe, lawful, and permitted manner at all times; and pay all rental charges, deposits, fuel charges, cleaning charges, damage costs, repair costs, downtime charges, towing charges, impound fees, storage fees, fines, penalties, and other applicable fees and taxes that may arise. Client assumes all risk of loss, damage, theft, misuse, or failure occurring after checkout, except for pre-existing mechanical defects documented by the Company at checkout.
PROHIBITED USE:
Equipment shall not be used illegally, unsafely, negligently, or for any purpose outside its intended use; operated by unqualified persons; modified, altered, or repaired without prior written approval from the Company; or sub-rented, loaned, or transferred to any third party. Any prohibited use constitutes a material breach of this Agreement, and Client assumes full responsibility and liability for any resulting loss, damage, injury, or claims.
OPERATION & CARE:
Client shall perform routine pre-use inspections and immediately cease operation and notify the Company if any malfunction, warning indicator, abnormal operation, or unsafe condition occurs. Equipment must be returned in the same condition as received, normal wear and tear excepted. Normal wear and tear does not include damage caused by misuse, improper operation, neglect, contamination, overheating, overloading, lack of required maintenance, or operation outside intended use. Examples of normal wear and tear include wear of tire or track tread consistent with the hours or miles of use during the rental period, normal brake wear, and routine wear to belts, hoses, cutting edges, or similar consumable components resulting from proper use within manufacturer guidelines.
RENTAL TIME & EXTENSIONS:
Rental time begins at pickup or delivery and ends when the equipment is returned to the Company. Rental extensions require prior approval from the Company and will be billed at the applicable rate.
DAMAGE, LOSS, RISK ALLOCATION & CLAIMS:
Client is responsible for all damage to or loss of the equipment during the rental period, including but not limited to damage caused by abuse, neglect, fire, theft, collision, rollover, vandalism, environmental exposure, contamination, loss of fluids, misuse, unauthorized use, improper operation, overloading, transportation damage, or missing or damaged parts, accessories, or attachments. Client is responsible for all repair and replacement costs, which may include labor, diagnostics, transportation, towing, parts, administrative costs, and loss of rental availability or downtime. If the equipment is deemed a total loss, Client is responsible for the full replacement value of the equipment.
Client assumes all risk of loss or damage occurring after checkout and until the equipment is returned to and accepted by the Company. If Client fails to pay repair, replacement, or other charges when due, Client authorizes the Company to seek recovery from any applicable insurance coverage maintained by Client, including but not limited to commercial general liability, inland marine, commercial auto, personal auto, homeowners, renters, umbrella, or other applicable insurance policies.
A refundable security deposit is required for all rentals unless otherwise approved in writing by the Company. Security deposits may be collected through a pre-authorization hold or charge to the payment method on file, in an amount determined by the Company based on equipment type, risk level, rental duration, replacement value, or other relevant factors. The security deposit does not limit Client’s financial responsibility and may be applied, at the Company’s sole discretion, toward unpaid rental charges, fuel charges, cleaning fees, damage, repairs, missing items, towing, recovery, impound, storage, downtime, fines, penalties, administrative fees, or other amounts owed under this Agreement. Client remains fully responsible for any charges exceeding the amount of the security deposit.
DAMAGE, LOSS, RISK ALLOCATION & CLAIMS, continued:
Contractors, businesses, or other approved renters may request a waiver of the security deposit requirement by providing a valid Certificate of Insurance (“COI”) prior to rental. The COI must demonstrate coverage applicable to rented equipment and name “Worthy Group LLC, DBA High Desert Equipment Rentals” as Certificate Holder and Additional Insured. Minimum required insurance limits shall include $1,000,000 per occurrence, $2,000,000 general aggregate, $2,000,000 products-completed operations aggregate, $1,000,000 personal and advertising injury, $50,000 damage to rented premises, and $5,000 medical expense (any one person), or such greater limits as may be reasonably required by the Company based on the type or risk level of the equipment rented. The Company may also require proof of inland marine, rented equipment, automobile liability, or umbrella coverage where applicable. Acceptance of any COI is at the sole discretion of the Company. Failure to provide an acceptable COI may result in a required security deposit prior to rental.
Client agrees to fully cooperate with the Company and any applicable insurer in the investigation, adjustment, and resolution of any claim arising from damage to, loss of, or theft of the equipment. Cooperation includes providing accurate information, timely statements, incident reports, photographs, witness information, and executing documents reasonably required to pursue recovery. Failure to cooperate constitutes a material breach of this Agreement.
CLEANING & CONTAMINATION:
Equipment must be returned reasonably clean and free dirt, mud, concrete, oil, fuel residue, adhesives, paint, or other foreign substances. Cleaning charges are assessed for labor required to return the equipment to a rentable condition and are billed at $50 per hour. Cleaning charges will apply only to excess cleaning beyond normal wear and ordinary use, at the discretion of the Company.
FUEL:
Equipment powered by gasoline, diesel, or propane will be provided with a full tank of fuel. Client is required to return such equipment with a full tank. If the Company adds fuel upon return, Client authorizes the Company to bill fuel at a rate of $7.00 per gallon.
DELIVERY, PICKUP & SITE CONDITIONS:
Client is responsible for providing safe, level, and accessible site conditions and for identifying underground hazards including utilities, septic systems, irrigation lines, or soft ground when applicable. The Company is not responsible for surface or ground damage caused by equipment weight or placement. Failed deliveries or pickups due to site conditions or Client error may result in additional charges.
PAYMENT, BOOKING & CANCELLATION:
Reservations may require a deposit or full payment. Same-day rentals require payment in full. Valid identification is required. Cancellations within 24 hours of the scheduled rental may incur a $50 cancellation fee. Failed delivery or pickup due to Client error may result in additional charges.
PAYMENT AUTHORIZATION:
Client authorizes the Company to charge the payment method on file for additional rental time, fuel charges, cleaning charges, damage, repairs, downtime, towing, impound, storage, fines, penalties, or other fees permitted under this Agreement. The Company may recover equipment without notice for non-payment or material breach. Unpaid balances may be subject to collections, administrative fees, and legal costs. Client authorizes HDER to keep their personal information stored for future use, including but not limited to their contact information, their identification card, such as a driver's license or ID, and their payment information such as their credit or debit card information. They further authorize the use of their payment information to be charged in the case of damage coverage or future rentals.
LIABILITY & INDEMNIFICATION:
Client assumes all risk associated with equipment use and agrees to indemnify and hold harmless the Company, its owners, employees, and agents from any claims arising from equipment use or misuse, improper parking or storage, property damage, personal injury, death, or violation of law. The Company makes no warranties, express or implied, regarding equipment fitness or performance.
DEFAULT & GOVERNING LAW:
The Company may terminate the rental and recover equipment immediately upon breach of this Agreement. Client is responsible for all recovery, legal, and administrative costs. This Agreement is governed by the laws of the State of Oregon.
ACCEPTANCE:
By booking, paying for, signing, or taking possession of equipment, Client confirms that they have read and agree to this Agreement and accept full responsibility for the equipment during the rental period.
